These Terms of Use ("Terms") are a binding agreement between you and Cividian ("Cividian," "we," "us," or "our") governing your access to and use of the Cividian website, applications, and services (the "Service"). Please read them carefully. By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
By using the Service you accept these Terms and our Privacy Policy, which is incorporated by reference. We may update these Terms from time to time. When we do, we will revise the "Last updated" date, and material changes may be communicated through the Service. Your continued use after changes take effect means you accept the revised Terms.
You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a company or organization, you represent that you are authorized to bind that entity to these Terms.
To access certain features you must create an account and provide accurate, current, and complete information, including your name, email address, and phone number. You are responsible for the activity under your account and for keeping your credentials confidential. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.
By creating an account you consent to receive account and service messages, and, where you have provided consent, marketing and outreach by email and text message as described in our Privacy Policy. You can opt out of marketing emails through the unsubscribe link and opt out of texts by replying STOP. Consent to marketing messages is not a condition of using the Service.
You agree not to:
Member Concepts. Cividian lets signed-in members write development concepts: ideas, scenarios, and possible uses for cities, sites, and buildings. Concepts are private to your account by default. If you choose to publish a concept, it becomes visible to other signed-in Cividian members until you unpublish or delete it, which you can do at any time; publishing shows the first name on your account next to your concept. By saving a concept you confirm that you created it, that you have the right to share it, and that it contains no confidential information you are not free to disclose. By publishing, you grant Cividian a non-exclusive, revocable license to display that concept to signed-in members; the license ends when you unpublish or delete the concept, and you keep ownership of your concepts. Cividian does not use private or published concepts to train models and will not do so without your separate, explicit consent.
Concepts must not contain unlawful, defamatory, or infringing material; statements indicating preference or discrimination based on race, color, religion, sex, familial status, national origin, or disability in connection with housing; personal contact information of others; or content you were shown in confidence. Cividian may remove a concept that violates these Terms and may suspend publishing for repeat violations; Cividian does not edit member concepts. Concepts are member ideas, not advice, not offers, and not statements by Cividian; Sections 8, 9, 11, and 12 apply to them in full. Copyright complaints about a concept follow Section 10. To report a concept, use the contact in Section 17.
The Service, including its design, software, text, graphics, compilations, and the Cividian name and marks, is owned by Cividian or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your internal business and evaluation purposes. We reserve all rights not expressly granted. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.
The Service displays property, parcel, demographic, and economic data sourced from public records and licensed third-party providers, including the U.S. Census Bureau, Regrid, Mapbox, and others. This data is owned by its respective providers and is subject to their terms. In particular, parcel and property data provided through Regrid may not be copied, redistributed, resold, or used to build a competing dataset, and may only be used as permitted by Regrid's applicable terms. You are responsible for using third-party data in compliance with those terms.
Attorney and licensing note. Confirm your Regrid license tier permits the way Cividian displays and lets users interact with parcel data, and mirror Regrid's required attribution and redistribution restrictions here. Mapbox and other providers also carry attribution and usage requirements.
The data in the Service is aggregated and estimated from public and third-party sources. It may be incomplete, inaccurate, outdated, or different from official records. Property boundaries, ownership, valuations, demographics, scores, and incentive figures are illustrative and for preliminary research only. You should independently verify any information with the authoritative source (county records, the relevant agency, or a qualified professional) before relying on it. Cividian does not warrant the accuracy, completeness, or timeliness of any data.
The Service and its outputs, including any city score, thesis, incentive estimate, or assistant response, are provided for informational purposes only and do not constitute real estate, legal, financial, investment, tax, or other professional advice, and do not create any advisory or fiduciary relationship. You are solely responsible for your decisions. Consult licensed professionals before making any investment, acquisition, development, or relocation decision.
If you believe content on the Service infringes your copyright, send a notice to contact@cividian.com with the information required under the Digital Millennium Copyright Act, including identification of the work, the material at issue and its location, your contact information, and a statement of good-faith belief and accuracy made under penalty of perjury.
The Service and all data and content are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. Cividian does not warrant that the Service will be uninterrupted, secure, error free, or that data will be accurate or complete.
To the fullest extent permitted by law, Cividian and its owners, officers, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising from or related to your use of or inability to use the Service, even if advised of the possibility. Cividian's total aggregate liability for all claims relating to the Service will not exceed the greater of the amount you paid Cividian for the Service in the twelve months before the claim, or one hundred U.S. dollars ($100).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.
You agree to indemnify and hold harmless Cividian and its owners, officers, and agents from any claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising from your use of the Service, your violation of these Terms, your violation of any law or third-party right, or your misuse of any data obtained through the Service.
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. You may stop using the Service at any time. Provisions that by their nature should survive termination, including ownership, disclaimers, limitations of liability, and dispute terms, will survive.
These Terms are governed by the laws of the State of Indiana, without regard to its conflict-of-laws rules. Before filing any claim, you agree to first contact us at contact@cividian.com and attempt to resolve the dispute informally for at least 30 days. Any dispute not resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Indiana, and you consent to venue there, unless you and Cividian agree in writing to binding arbitration.
Attorney review needed. If you want mandatory binding arbitration and a class-action waiver (which many platforms use to limit exposure), have an attorney draft an enforceable arbitration clause for your jurisdiction. The clause above defaults to Indiana courts and leaves arbitration optional.
These Terms, with the Privacy Policy, are the entire agreement between you and Cividian regarding the Service. If any provision is held unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
